By registering for and participating in the Health City Challenge (the “Challenge”), you (“Participant”) acknowledge that you have read, understood, and agree to be legally bound by the following Terms and Conditions. Participation in the Challenge is voluntary and subject to compliance with all rules, requirements, and policies outlined below.


1. Administrator and Sponsor

The Challenge is administered by Health City (“Administrator”) and sponsored by the entity or entities identified in the official Challenge description (“Sponsor”). Administrator and Sponsor may be referred to individually as a “Party” and collectively as the “Parties.”

All applicable federal, territorial, and local laws and regulations apply.


2. Eligibility

To participate in the Challenge, Participants must:

  • Be 18 years of age or older at the time of registration;
  • Complete the official registration process through the designated registration form;
  • Execute all required waivers, releases, and agreements; and
  • Comply with all Challenge rules and procedures.

The Challenge is a skill-based contest and is not a lottery or sweepstakes.


3. Voluntary Participation and Health Representation

Participation in the Challenge is entirely voluntary. By registering, Participant represents and certifies that:

  • Participant is physically and mentally able to participate;
  • Participant has not been advised by a qualified medical professional to refrain from participation; and
  • Participant is not aware of any condition that would pose a health or safety risk during participation.

The Administrator recommends that individuals not participate if they are pregnant, menstruating, or have implanted medical devices, including but not limited to pacemakers, metal implants, insulin pumps, or similar components.


4. No Medical Advice Disclaimer

Administrator and Sponsor are not healthcare providers. Any information, guidance, data, or materials provided in connection with the Challenge are for informational purposes only and do not constitute medical advice, diagnosis, treatment, or cure.

Participants are solely responsible for consulting with their own qualified healthcare professionals regarding any medical conditions or concerns before and during participation.


5. Assumption of Risk

Participant understands that participation in the Challenge involves inherent risks, including but not limited to physical or psychological injury, illness, pain, temporary or permanent disability, paralysis, economic or emotional loss, or death.

Participant knowingly and voluntarily assumes all risks, whether known or unknown, foreseeable or unforeseeable, arising from participation in the Challenge, including travel to, from, and during Challenge-related activities.


6. Release of Liability and Indemnification

To the fullest extent permitted by law, Participant agrees to release, waive, and hold harmless Administrator, Sponsor, and their respective officers, directors, employees, volunteers, contractors, agents, successors, and assigns from any and all claims, liabilities, damages, losses, or causes of action arising out of or related to participation in the Challenge, including claims based on negligence.

Participant further agrees to indemnify and defend the Released Parties from any claims, costs, or expenses (including reasonable attorneys’ fees) arising from Participant’s actions, omissions, or breach of these Terms.


7. Registration and Entry Fees

Participants must complete registration through the designated registration form and submit any applicable entry fee.

All entry fees are non-refundable and non-transferable, except where expressly authorized in writing by the Sponsor. All payments are final.


8. Weigh-Ins and Data Collection

Participants must complete an initial weigh-in and a final weigh-in on the dates and during the appointment windows designated by the Administrator.

  • Weigh-ins include body weight and body composition analysis using an InBody 570 or similar device;
  • Height must be measured using a PUSH Stadiometer at the initial weigh-in;
  • The same height measurement must be used for both weigh-ins;
  • Valid government-issued photo identification is required.

Failure to comply with weigh-in procedures may result in disqualification.


9. Determination of Winners

Winners are determined based on Lean Body Mass (LBM) calculations and methodologies designated by the Administrator.

The Administrator reserves the right, in its sole and absolute discretion, to modify formulas, calculations, or methodologies to ensure fairness and accuracy. All determinations are final and binding.


10. Prizes and Taxes

Prizes will be awarded to eligible winners as designated by the Sponsor. Winners may be issued an IRS Form 1099, if applicable, for the value of prizes awarded.

Odds of winning depend on the number of eligible Participants.


11. Winner Notification

Winners will be notified using the contact information provided at registration. If a winner fails to respond within fourteen (14) business days, the prize may be forfeited and an alternate winner selected.

Winners may be publicly announced on Administrator’s and Sponsor’s websites and social media platforms.


12. Media, Interview, and Photograph Release

By participating, Participant grants Administrator irrevocable, perpetual, worldwide rights to record, photograph, interview, and otherwise capture Participant’s name, image, likeness, voice, and statements in any media now known or later developed.

Participant agrees that such media may be used for promotional, marketing, advertising, or informational purposes without compensation and releases all claims related to privacy, publicity, copyright, or defamation.


13. Conduct and Disqualification

Administrator reserves the right, in its sole discretion, to disqualify any Participant for:

  • Failure to comply with these Terms;
  • Fraud, deception, or tampering;
  • Artificial or unhealthy alteration of body composition (including surgical procedures);
  • Failure to cooperate with verification procedures;
  • Harassment, abuse, or illegal conduct.

14. Modification, Suspension, or Cancellation

Administrator reserves the right to modify, suspend, or cancel the Challenge at any time for any reason, including insufficient participation or circumstances beyond its control.

If canceled, Administrator may donate collected funds to local health and wellness organizations.


15. Privacy and Personal Information

Participant consents to the collection, use, and disclosure of personal and body composition information in accordance with Administrator’s Privacy Policy.

Participant may revoke authorization in writing, except where information has already been disclosed.


16. Dispute Resolution, Arbitration, and Governing Law

Any dispute arising out of or related to the Challenge or these Terms shall first be submitted to mediation administered by the American Arbitration Association. If unresolved, disputes shall be resolved by binding arbitration in Guam, USA.

Participants waive the right to participate in class actions. These Terms are governed by the laws of the U.S. Territory of Guam, without regard to conflict of laws principles.


17. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with all waivers and agreements executed during registration, constitute the entire agreement between the Parties regarding participation in the Challenge.


18. Acceptance

By registering for the Challenge, Participant acknowledges that they have read, understood, and agree to these Terms & Conditions in their entirety.
